Terms of Service

By accessing or using QuoteOS (the "Service"), operated by NHP Equities Pty Ltd ("QuoteOS", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

To use QuoteOS, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable law
• Provide accurate and complete registration information

QuoteOS is an AI-assisted quote generation platform designed for trade professionals. The Service includes:

• AI-powered quote generation based on your pricing library and job requirements
• Pricing library management and storage
• PDF quote generation and export
• Quote tracking and management
• Team collaboration features (on applicable plans)

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorised access or security breach
• Ensuring that your account information remains accurate and up to date

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised.

Plans and Pricing: QuoteOS offers various subscription plans as described on our pricing page. Prices are subject to change with reasonable notice.

Billing: Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing, you authorise us to charge your payment method for all fees associated with your plan.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until then.

Refunds: Fees are generally non-refundable, except:

• Where required by applicable consumer protection law
• At our sole discretion in cases of service issues
• During any applicable trial period

Free Trials: If you sign up for a free trial, you will not be charged until the trial period ends. You may cancel before the trial ends to avoid charges.

QuoteOS uses artificial intelligence to assist in generating quotes. You acknowledge and agree that:

• AI-generated content is provided as a starting point and requires human review
• You are solely responsible for reviewing, editing, and approving all quotes before sending them to customers
• QuoteOS does not guarantee the accuracy, completeness, or suitability of AI-generated content
• You must verify that all pricing, quantities, and specifications are correct
• QuoteOS is not liable for any errors, omissions, or inaccuracies in AI-generated content

QuoteOS does not provide professional, legal, financial, or trade advice. The Service is a tool to assist with quote preparation—it does not replace professional judgement or expertise.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorised access to any part of the Service or its systems
• Interfere with or disrupt the Service or servers connected to the Service
• Upload or transmit viruses, malware, or other malicious code
• Use the Service to send spam, phishing, or fraudulent communications
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Resell, sublicense, or redistribute the Service without our written permission
• Use the Service in a manner that could damage, disable, or impair the Service
• Impersonate any person or entity or misrepresent your affiliation

Our Intellectual Property: The Service, including its software, design, features, and content (excluding your data), is owned by QuoteOS and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works without our permission.

Your Content: You retain full ownership of all content you upload to the Service, including your pricing library, quote data, and customer information. By using the Service, you grant us a limited licence to process your content solely to provide the Service to you.

Feedback: If you provide feedback or suggestions about the Service, you grant us the right to use that feedback without restriction or compensation.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

Your pricing data and customer information is never used to train AI models. See our Privacy Policy for details.

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide reasonable notice where possible)
• Emergency maintenance or security updates
• Factors outside our control (internet outages, third-party service issues)

We are not liable for any loss or damage resulting from Service unavailability.

To the maximum extent permitted by applicable law:

• QuoteOS shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• QuoteOS shall not be liable for loss of profits, revenue, data, business opportunities, or goodwill
• Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim

Consumer Protections:

• For Australian consumers: Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law
• For EU/UK consumers: Your statutory rights under consumer protection laws are not affected by these Terms
• For US consumers: Some states do not allow limitations on implied warranties or exclusion of certain damages—these limitations may not apply to you

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• Any errors in the Service will be corrected

You agree to indemnify and hold harmless QuoteOS, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit or transmit through the Service

By You: You may cancel your account at any time through your account settings or by contacting us.

By Us: We may suspend or terminate your account if:

• You violate these Terms
• Your use poses a security risk to the Service or other users
• We are required to do so by law
• We discontinue the Service (with reasonable notice)

Effect of Termination: Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination. After that period, we may delete your data in accordance with our data retention policies.

We may modify these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

If you do not agree to the modified Terms, you may cancel your account before the changes take effect.

Governing Law: These Terms are governed by the laws of Victoria, Australia, except where your local law requires otherwise.

Dispute Resolution: We encourage you to contact us first to resolve any disputes informally. If a dispute cannot be resolved informally, it shall be resolved in the courts of Victoria, Australia, unless:

• You are an EU/UK consumer entitled to bring proceedings in your local courts
• Your local law requires disputes to be resolved in your jurisdiction
• Applicable law provides for alternative dispute resolution

Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and QuoteOS.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer these Terms without our consent. We may assign our rights and obligations without restriction.
